STANDARD TERMS AND CONDITIONS

FILMMAKER RIGHTS AGREEMENT

POPSTAR AWARDS is defined as any gathering of filmmakers, television producers, including but not limited to production companies and independent filmmakers, for the purpose of promoting their Pictures in person or through virtual events.

The Filmmaker and Company, POPSTAR PUBLISHING, INC. (“Company”), hereby agree to the following Standard Terms and Conditions:

1. Picture: Filmmaker’s Video or Film (“Picture”) has been submitted for selection to the 2023 Popstar! Independent TV and Film Awards ("POPSTAR AWARDS").

2. License: In exchange for promotional considerations, Filmmaker grants to Company the non-exclusive right and license to perform publicly, either for profit or non-profit, and to
   authorize others to exhibit and broadcast the Picture along with use of all associated promotional materials, artwork and trailers, on POPSTAR!’s website and associated digital sites, POPSTAR! TV, for broadcast, for the POPSTAR AWARDS, satellite, POPSTAR!
   branded screenings and for other POPSTAR! events held through-out the universe during the Term in any media now known or hereinafter devised.

3. Term: The term of this Agreement shall commence upon Filmmaker’s submission of their Picture to the festival and shall remain in full force and effect for seven (7) years.

4. Territory: The territory (“Territory”) covered by this license is Worldwide.

5. Reserved Rights: Filmmaker shall retain those rights and interest in the Picture and/or promos except for those rights specifically granted to Company herein. Company shall have
   no right or authority (i) to make any change to the fundamental character of the Picture or (ii) to make any other significant use of the Picture not authorized.

6. Assignment: Company shall be entitled to assign all or a portion of the rights and licenses granted herein for the purposes of authorizing or permitting the exhibition, broadcast,
   transmission, reproduction or performance of the Picture and/or promos, and/or portions or excerpts thereof, and shall be entitled to assign this agreement in its entirety to any person, firm or corporation. For the avoidance of doubt, and notwithstanding
   the foregoing, Company shall be entitled to assign all or a portion of the rights and licenses granted herein.

7. Representations and Warranties: Filmmaker represents and warrants that (i) Filmmaker has full power and authority to enter into and fully perform this agreement and that it owns
   or controls the rights in the Picture granted to Company herein; (ii) all elements within the Picture are either original with the Filmmaker or are fully cleared by the Filmmaker; (iii) the Picture is free and clear of any liens or claims; (v) Company’s use
   of the Picture in the manner authorized herein will not give rise to any claims of infringement, invasion of privacy or publicity or claims for payment of re-use fees or residuals (any and all third party payments shall be Filmmaker’s responsibility) and (vi)
   Filmmaker will not act in a manner or enter into any oral or written agreements inconsistent with this agreement.

8. Entire Agreement: This license is binding upon and shall inure to the benefit of the respective licensees, successors, and assigns of the parties hereto. This agreement sets forth
   the entire understanding of the parties hereto with respect to the subject matter hereof and shall be governed by and construed in accordance with the law of the California, USA.

9. Remedies: The terms and conditions of this agreement constitutes the entire binding agreement between the parties and supersedes all prior and contemporaneous written or oral agreements
   pertaining thereto and can only be modified by a writing signed on behalf of both parties hereto. Any dispute, claim or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof, including
   the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in the city of Los Angeles, California, before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration
   Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. The provisions of this Clause
   may be enforced by any Court of competent jurisdiction, and the party seeking enforcement shall be entitled to an award of all reasonable legal fees, costs, and expenses, including attorneys’ fees, which shall be borne by the non-prevailing party in any such
   arbitration (or mediation or litigation).

10. Other Terms and Conditions: The other terms and conditions of this Agreement are as customary for agreements of this nature and are deemed incorporated herein by this reference.
